Terms of Service

Welcome to EZShip. These Terms of Service ("Terms") govern your access to and use of the EZShip platform, including our website at shipio.app, mobile applications (iOS and Android), desktop application, and all related services (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms.
EZShip is operated by Ezship ("Company," "we," "us," or "our"), a freight brokerage technology company headquartered in the United States.
1. Definitions
- "Shipper" means any registered user who posts loads or shipment requests on the Platform.
- "Carrier" means any registered user who bids on, accepts, and transports loads posted on the Platform.
- "Load" means a freight shipment listing created by a Shipper, including Full Truckload (FTL) and Less Than Truckload (LTL) shipments.
- "Bid" means a price offer submitted by a Carrier for a posted Load.
- "Counter-Offer" means a revised price proposal submitted by either party during negotiation.
- "User," "you," or "your" refers to any individual or entity that registers for or uses the Platform.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into binding agreements to use the Platform. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2.2 Account Creation
To access the Platform's features, you must create an account and provide accurate, complete, and current information, including:
- Full legal name and contact information
- Company name and business address
- Valid email address and phone number
- For Carriers: Motor Carrier (MC) number, DOT number, insurance documentation, and operating authority verification
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at sales@myfreightconnect.com if you suspect unauthorized access to your account.
3. Platform Services
3.1 For Shippers
EZShip provides Shippers with the ability to:
- Post load listings with details including freight type, weight, dimensions, pickup and delivery locations, and preferred timelines
- Receive competitive bids from verified Carriers
- Negotiate rates through our built-in counter-offer system
- Track shipments in real-time from pickup to delivery
- Manage orders, contracts, and invoices through a centralized dashboard
3.2 For Carriers
EZShip provides Carriers with the ability to:
- Browse and search available loads across all 50 US states
- Submit bids on loads that match their routes and capacity
- Send and receive counter-offers for rate negotiation
- Manage the pickup-to-delivery workflow with status updates
- Access invoicing and payment processing tools
3.3 Role of EZShip
EZShip operates as a technology marketplace that connects Shippers with Carriers. EZShip is not a motor carrier, freight forwarder, or direct transportation provider. We do not take possession of, transport, or assume liability for any freight. The transportation contract is between the Shipper and the Carrier. EZShip facilitates the connection, bidding, and tracking process.
4. Fees and Payment
4.1 Account and Posting Fees
Creating an account on EZShip is free. Posting loads on the Platform is free for Shippers. There are no subscription fees required to access the basic features of the Platform.
4.2 Commission Model
EZShip operates on a transparent commission model. A service fee is applied to successfully completed shipments. The applicable commission rate will be clearly disclosed to both Shippers and Carriers before a shipment is confirmed. No fees are charged for shipments that are not completed.
4.3 Payment Terms
All payments processed through the Platform are subject to our payment terms. Shippers agree to pay the agreed-upon rate plus any applicable EZShip service fees upon successful delivery of freight. Carriers will receive payment according to the agreed schedule after delivery confirmation.
4.4 Disputes
In the event of a payment dispute, both parties agree to work with EZShip's support team in good faith to resolve the matter. EZShip reserves the right to hold funds during the investigation of any dispute.
5. Carrier Verification
All Carriers on the EZShip platform are required to undergo a verification process before they can bid on loads. This process includes, but is not limited to:
- Verification of active operating authority (MC and DOT numbers)
- Proof of required insurance coverage (cargo, liability, and workers' compensation as applicable)
- Company documentation and business entity verification
- Safety record review
While EZShip takes reasonable steps to verify Carriers, we do not guarantee the performance, reliability, or safety of any Carrier. Shippers are encouraged to review Carrier profiles, ratings, and history before accepting bids.
6. User Obligations
6.1 General Obligations
All Users agree to:
- Provide accurate, truthful, and up-to-date information at all times
- Comply with all applicable federal, state, and local laws and regulations related to freight transportation
- Not use the Platform for any unlawful, fraudulent, or deceptive purpose
- Not interfere with or disrupt the Platform's operation or security
- Maintain appropriate insurance coverage as required by applicable law
6.2 Shipper Obligations
Shippers agree to provide accurate load information including weight, dimensions, freight type, hazardous material disclosures (if any), and pickup/delivery requirements. Shippers must ensure that loads are properly packaged, labeled, and ready for pickup at the agreed time and location.
6.3 Carrier Obligations
Carriers agree to maintain valid operating authority, insurance, and all required permits. Carriers must transport freight in accordance with all applicable Department of Transportation (DOT) regulations and the Federal Motor Carrier Safety Administration (FMCSA) requirements. Carriers must provide timely status updates through the Platform.
7. Prohibited Activities
You may not use the Platform to:
- Post false, misleading, or fraudulent load listings or bids
- Circumvent the Platform's bidding or payment systems by conducting transactions outside of EZShip
- Harass, threaten, or abuse other Users
- Transport illegal, prohibited, or undeclared hazardous materials
- Scrape, harvest, or collect data from the Platform without authorization
- Impersonate another person or entity
- Upload viruses, malware, or any harmful code to the Platform
- Violate any applicable federal, state, or local transportation regulations
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- EZShip is not liable for any loss, damage, delay, or destruction of freight during transportation. All claims related to freight damage or loss must be directed to the responsible Carrier.
- EZShip is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- EZShip's total liability for any claim related to the Platform shall not exceed the amount of fees paid by you to EZShip in the twelve (12) months preceding the claim.
- EZShip does not guarantee the availability of Carriers, the acceptance of bids, or the successful completion of any shipment.
9. Indemnification
You agree to indemnify, defend, and hold harmless EZShip, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Platform, violation of these Terms, or violation of any applicable law or regulation.
10. Intellectual Property
The EZShip name, logo, and all related trademarks, service marks, and trade dress are the property of Ezship. All content on the Platform, including text, graphics, logos, software, and user interfaces, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.
11. Termination
EZShip reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or inactivity. You may terminate your account at any time by contacting our support team. Upon termination, any pending transactions must be completed or properly canceled, and any outstanding fees must be paid.
12. Dispute Resolution
12.1 Informal Resolution
Before filing any formal claim, you agree to contact EZShip at sales@myfreightconnect.com and attempt to resolve the dispute informally for at least thirty (30) days.
12.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Cook County, Illinois.
13. Modifications to Terms
EZShip reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
14. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EZSHIP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EZSHIP DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
